Re St. Lawrence & Hudson Railway

Peter Simm researched and drafted the Factum for an intervenor — one of the largest minority security holders — in the Canada Business Corporations Act  Application in St Lawrence (1998, Ont. Ct. (G.D.) (Commercial List)).

CPR applied under the CBCA  for Court approval of a complex Plan of Arrangement as fair and reasonable to the security holders.

The Supreme Court of Canada unanimously cited this case twice in a 2008 decision, including once as the sole authority cited for a particular proposition of law.

St Lawrence  is cited in 31 judicial decisions, including 3 appellate rulings. It is also cited in 18 legal textbooks, including a British text published by Cambridge University Press. As well, this case is cited in 3 legal periodicals.
